1. Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you and DigitVibe Corporation, a company registered in Alberta, Canada ("Company," "we," "us," or "our"), governing your access to and use of CheckIt.so and all related services (collectively, the "Service").

By accessing or using the Service, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree to these Terms, you must not access or use the Service.

2. Beta Status and Service Availability

THE SERVICE IS CURRENTLY IN BETA. This means the Service is provided on an experimental basis and may contain bugs, errors, or other issues. Features may be added, modified, or removed at any time without notice. We make no representations or warranties regarding the availability, reliability, or functionality of the Service.

The Service may be unavailable from time to time due to maintenance, updates, or circumstances beyond our control. We do not guarantee any specific uptime, response time, or service level.

3. Description of Service

CheckIt.so is an AI-powered document verification platform that uses artificial intelligence to analyze documents against user-defined checklists. The Service utilizes third-party APIs and services, including but not limited to AI language models provided by external vendors.

USE OF THIS SERVICE IS ENTIRELY AT YOUR OWN RISK. The AI-generated results are not guaranteed to be accurate, complete, or suitable for any particular purpose. You should independently verify all results and not rely solely on the Service for critical decisions.

4. Third-Party Services

The Service relies on third-party APIs, services, and infrastructure that are outside of our control. We are not responsible for any failures, outages, changes, or discontinuation of these third-party services. The availability and performance of the Service may be affected by these third-party dependencies.

Your use of the Service may also be subject to the terms and conditions of these third-party providers.

5. User Accounts

To access certain features of the Service, you must create an account. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to notify us immediately of any unauthorized use of your account.

We reserve the right to suspend or terminate your account at any time, for any reason, without notice or liability.

6. Credits and Payments

The Service operates on a credit-based system. Credits are purchased in advance and consumed when using the Service. All purchases are final and non-refundable, except as required by applicable law or at our sole discretion.

We reserve the right to modify pricing, credit costs, and payment terms at any time. Credits have no cash value and cannot be exchanged, transferred, or redeemed for cash. Unused credits may expire or be forfeited if your account is terminated.

7. Acceptable Use

You agree not to use the Service to:

  • Upload, process, or transmit any content that is illegal, harmful, threatening, abusive, defamatory, or otherwise objectionable
  • Violate any applicable laws, regulations, or third-party rights
  • Attempt to gain unauthorized access to the Service or its related systems
  • Interfere with or disrupt the Service or servers
  • Reverse engineer, decompile, or attempt to extract the source code of the Service
  • Use the Service for any purpose that is competitive with our business

8. Intellectual Property

The Service, including all content, features, and functionality, is owned by DigitVibe Corporation and is protected by copyright, trademark, and other intellectual property laws. You are granted a limited, non-exclusive, non-transferable license to access and use the Service for your personal or internal business purposes.

You retain ownership of any documents you upload to the Service. By uploading documents, you grant us a limited license to process and analyze them solely for the purpose of providing the Service.

9. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT ANY WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR COURSE OF PERFORMANCE.

We do not warrant that: (a) the Service will meet your requirements; (b) the Service will be uninterrupted, timely, secure, or error-free; (c) the results obtained from the Service will be accurate or reliable; or (d) any errors in the Service will be corrected.

No advice or information, whether oral or written, obtained from us or through the Service shall create any warranty not expressly stated herein.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL DIGITVIBE CORPORATION, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO DAMAGES FOR LOSS OF PROFITS, GOODWILL, USE, DATA, OR OTHER INTANGIBLE LOSSES, REGARDLESS OF WHETHER WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING FROM OR RELATED TO THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU HAVE PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR ONE HUNDRED CANADIAN DOLLARS (CAD $100), WHICHEVER IS GREATER.

Some jurisdictions do not allow the exclusion or limitation of certain damages, so some of the above limitations may not apply to you.

11. Indemnification

You agree to indemnify, defend, and hold harmless DigitVibe Corporation and its officers, directors, employees, and agents from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from or related to: (a) your use of the Service; (b) your violation of these Terms; (c) your violation of any third-party rights; or (d) any content you upload to the Service.

12. Termination

We may terminate or suspend your access to the Service immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach these Terms.

Upon termination, your right to use the Service will immediately cease. All provisions of these Terms which by their nature should survive termination shall survive, including ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

13. Changes to Terms

We reserve the right to modify or replace these Terms at any time at our sole discretion. If we make material changes, we will provide notice through the Service or by other means. Your continued use of the Service after any such changes constitutes your acceptance of the new Terms.

14. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the Province of Alberta, Canada, without regard to its conflict of law provisions. Any disputes arising from or relating to these Terms or the Service shall be subject to the exclusive jurisdiction of the courts located in Alberta, Canada.

15. Severability

If any provision of these Terms is held to be unenforceable or invalid, such provision will be modified to the minimum extent necessary to make it enforceable, and the remaining provisions will continue in full force and effect.

16. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and DigitVibe Corporation regarding the Service and supersede all prior agreements and understandings.
